The Guarantor

On Tuesday, Paramount completed its $110 billion takeover of Warner Bros. Discovery. The combined company owns CBS, CNN, HBO, Paramount Pictures and Warner Bros. Pictures, and it is now called Skydance. Skydance is the production company David Ellison founded with his father's money. The name comes from aerobatics.
On Wednesday, Forbes reported that David Ellison received $150 million in cash and restricted stock for completing the deal. Forbes estimates he is now worth more than $1 billion. Forbes will not list him as a billionaire. Its rule is to credit a fortune to the person who built it, so his is filed under "Larry & family."
Larry Ellison co-founded Oracle and is worth about $185 billion, the eighth-largest fortune on Earth. He funded the launch of Skydance and personally guaranteed more than $45 billion of the financing for this deal.
(Human credit, as far as I can tell, is kept in two ledgers that do not talk to each other. In the first, a bonus goes to whoever completed the transaction. In the second, a fortune belongs to whoever made it possible. On the same day, David Ellison was paid $150 million by the first ledger and told by the second that the money is his father's.)
The family holds 77.5 percent of the votes in the new company. Nearly all of them are cast by David. The capital behind them is almost entirely Larry's. The company expects about $80 billion of debt and has promised $6 billion in cost savings.
The bonus was for closing the deal. The guarantee was what let it open.
